The Role

As Assistant Company Secretary – Group, you’ll support the Group Deputy Company Secretary and the team on listed and subsidiary matters such as the Annual Report, Annual General Meeting (AGM), Board Support as required and providing support to a cross-functional team.

You’ll report to the Group Deputy Company Secretary, supporting them and be an important contributor to the team, mentoring and supporting those more junior within a cross-functional team.

Key Responsibilities
  • Support the Group Company Secretary with one to two ExCo meetings per annum and any Board Committee as required.
  • Preparing high quality committee papers as required.
  • NED appointments, induction and ongoing training and information.
  • Half year, Year end and ARA processes.
  • Support the role responsible for Company Insurance when absent.
  • Responsible for all elements of the AGM, including oversight of the Notice of Meeting.
  • Provide excellent corporate governance advisory support to Phoenix Group Holdings plc, its subsidiaries and regulated entities.
What are we looking for?

This is a high-impact, strategic position for a seasoned company secretariat professional with deep expertise in plc and subsidiary governance.

Essential Criteria
  • Qualified governance or company secretariat professional through the CGI exam route with strong post qualified in-house listed experience, preferably within a FTSE 100 or FTSE 250.
  • Excellent knowledge of the Companies Act, Listing Rules, Disclosure, Guidance and Transparency Rules and UK Corporate Governance Code.
  • Excellent communication skills, written and verbal.
  • Drafting of listed plc and subsidiary level annual reports.
  • Ability to build effective stakeholder relationships, enjoy teamwork and positively influence outcomes.
  • Financial Services or highly regulated industry experience would be highly desirable.
