Qualifications

Responsibilities

  • Support the Company Secretary and General Counsel.
  • Ensure compliance with UK Listing Rules and Corporate Governance.
  • Assist in producing the Annual Report and coordinating shareholder meetings.
  • Support governance of global subsidiaries and manage corporate secretarial vendors.
  • Prepare Board/Committee calendars & facilitate shareholder inquiries.
  • Assist with acquisitions and restructuring projects.

Job description
Purpose of Role

Support the Company Secretary and General Counsel, Corporate with all aspects of company secretarial work. Ensure compliance with UK public listing requirements, manage global entities, and collaborate with Compliance and Finance teams to uphold strong governance standards.

Compliance & Governance
  • Ensure compliance with UK Listing Rules, DTRs, Corporate Governance Code & MAR.
  • Maintain Confidentiality Lists, Insider List & share dealing approvals.
Annual Report & Shareholder Meetings
  • Assist in producing and distributing the Annual Report.
  • Coordinate AGM / EGMs with registrars and stakeholders.
Subsidiary Administration
  • Support governance of global subsidiaries (filings, registers, resolutions).
  • Manage relationships with external corporate secretarial vendors.
Board & Shareholder Support
  • Prepare Board / Committee calendars & upload papers.
  • Liaise with registrars on dividends & shareholder queries.
Corporate Actions
  • Assist with acquisitions, disposals & restructuring projects.
Person Specification
