Circle is seeking an experienced transactional attorney to join the Transactions team within the Legal department. The role focuses on Corporate Development, Ventures, and Financial Partnerships, including mergers and acquisitions, strategic transactions, and venture investments, plus agreements with banks and other financial institutions.

You will lead transactions from inception through negotiation, signing, closing, and integration, coordinating with cross-functional teams and outside counsel

Qualifications

• J.D. or foreign equivalent and active bar membership in at least one U.S. State Bar.
• 7+ years of transactional legal experience at a top law firm or in-house.
• Strong background in M&A and corporate/financial transactions; lead negotiations and diligence.
• Excellent written and verbal communication; ability to coordinate multi-disciplinary teams.
• Experienced with generative AI in legal/workflow contexts and strong judgment on its use.
• Passion for Circle’s mission in fintech, digital assets, and blockchain technology.

Responsabilités

• Lead transactions from inception through signing, closing, and implementation.
• Advise on joint ventures, minority investments, strategic partnerships, and other transactions.
• Draft/negotiate agreements with banks and financial institutions for Circle’s operations.
• Coordinate with Legal, Regulatory, Risk, Compliance, Tax, Corporate Governance and Product teams.
• Develop transaction templates, playbooks, and AI-enabled workflows for faster, consistent execution.
