Job summary

Circle is seeking an experienced transactional attorney to lead deals from inception through signing and closing within the Transactions, Corporate Development, and Ventures teams. The role involves mergers and acquisitions, strategic partnerships, and banking/financial institution agreements, with a strong emphasis on AI-enabled workflows in a fast-moving digital asset environment.

Qualifications

J.D. or foreign equivalent and active membership in good standing of at least one U.S. State Bar.
Minimum 7 years of transactional legal experience at a leading law firm or in-house setting.
Experience with M&A and corporate/financial transactions; able to lead negotiations and diligence.

Responsibilities

Lead transactions from inception through signing and closing.
Advise on joint ventures, equity investments, and strategic partnerships.
Structure and negotiate agreements with banks and financial institutions.
Collaborate with cross-functional teams and outside counsel as needed.
Develop and refine transaction templates, playbooks, and diligence tools.
Design AI-enabled workflows to improve due diligence, drafting, and deal tracking.
