Circle is seeking an experienced transactional attorney to lead complex M&A, corporate transactions, and financial partnerships within the Legal department. You will drive deals from inception through signing, closing, and integration, while coordinating with cross-functional teams and leveraging AI-enabled workflows to improve efficiency and accuracy.

Qualifications

• J.D. or foreign equivalent and active membership in at least one U.S. State Bar.
• 7+ years of transactional legal experience at a leading law firm, an in-house department, or both.
• Substantial experience with M&A and other corporate transactions, financial services transactions, or both.
• Ability to coordinate legal, regulatory, tax, accounting, securities, and operations considerations with business goals.
• Experience using AI-enabled workflows in legal contexts and ensuring privilege/confidentiality.
• Excellent written and verbal communication and strong organizational skills.

Responsabilités

• Lead mergers, acquisitions, divestitures, asset purchases, and other strategic transactions through signing and closing.
• Advise on joint ventures, minority and venture investments, and strategic partnerships with equity components.
• Draft and negotiate agreements with banks and financial institutions supporting Circle’s operations.
• Collaborate with Corporate Development, Treasury, and Financial Partnerships teams across stakeholders.
• Develop AI-enabled workflows, templates, playbooks, and diligence tools for fast-cycle transactions.
• Review and validate AI-assisted outputs for accuracy, privilege, confidentiality, and risk.
