Job summary

Circle is seeking an experienced transactional attorney to join the Transactions team. You will independently lead corporate development, Ventures, and Financial Partnerships transactions from inception through signing and closing, with cross-functional collaboration across Legal, Regulatory, Risk, and Product.

In this fast-moving environment, you will design AI-enabled workflows, build templates and playbooks, and ensure diligence, contract review, and deal tracking meet Circle’s high standards

Qualifications

• J.D. or foreign equivalent and active membership in good standing of at least one U.S. State Bar.
• 7+ years of transactional legal experience.
• Substantial M&A and other corporate or financial transactions experience.
• Strong ability to coordinate legal, regulatory, tax, and business considerations.
• Excellent written and verbal communication skills.
• Familiarity with generative AI in legal workflows and risk management.
• Passion for Circle’s mission and financial technology.

Responsibilities

• Lead transactions from inception through negotiation, signing, closing, and integration.
• Structure, draft, and negotiate definitive agreements for M&A and strategic transactions.
• Advise on joint ventures, venture investments, and banking/financial institution arrangements.
• Coordinate with Business Development, Product, and other stakeholders; cross-functional collaboration.
• Develop and expand transaction templates, playbooks, diligence tools, and AI-enabled workflows.
• Review and validate AI-assisted outputs to preserve privilege and confidentiality.
