Job summary

Circle is seeking an experienced transactional attorney to lead complex deals within the Transactions team. You will handle mergers and acquisitions, venture investments, and financial partnerships, drafting definitive documents and guiding transactions from inception to closing while collaborating with Business Development, Product, and cross-functional teams.

Qualifications

• J.D. or foreign equivalent with active membership in good standing of at least one U.S. State Bar.
• 7+ years of transactional legal experience at a leading law firm, in-house, or both.
• Substantial experience with M&A and corporate/financial services transactions.
• Familiarity with generative AI in legal or professional workflows and ability to validate AI outputs.

Responsibilities

• Lead transactions from inception through signing, closing, and, where relevant, integration.
• Advise on joint ventures, minority and venture investments, and strategic partnerships with an equity component.
• Structure, draft, and negotiate agreements with banks and financial institutions supporting Circle’s operations.
• Coordinate with Legal, Regulatory, Risk, Compliance, Tax, Corporate Governance, Product, and other teams, including outside counsel.
