Job summary

Circle is seeking an experienced transactional attorney to join the Transactions team in the Legal department. You will independently lead complex transactions from inception through signing and closing, collaborating with Corporate Development, Treasury, and Financial Partnerships teams.

You will structure, draft, and negotiate agreements, manage due diligence, and coordinate cross-functional teams, including with banks and fintech partners.

Qualifications

• 7+ years of transactional legal experience in a leading law firm or in-house environment.
• Experience with M&A and other corporate transactions including structuring, diligence, and drafting agreements.
• Experience with banking/financial services agreements and regulators is a plus.
• Familiarity with generative AI in legal workflows and governance.

Responsibilities

• Lead transactions from inception through signing, closing, and integration.
• Structure, draft definitive agreements, and conduct due diligence.
• Advise on joint ventures, minority investments, and strategic partnerships.
• Negotiate with banks and financial institutions supporting Circle’s operations.
• Coordinate with Legal, Regulatory, Risk, Tax, and other stakeholders and outside counsel.
• Develop AI-enabled workflows, templates, and playbooks for the Transactions team.
• Review AI-assisted outputs for accuracy, confidentiality, and privilege.
