Job summary

Circle is seeking an experienced transactional attorney to lead complex mergers, acquisitions, and strategic transactions. You will work within the Transactions team, collaborating with Corporate Development, Treasury, and Financial Partnerships to structure, draft, and negotiate agreements while aligning legal strategy with business goals.

You will drive due diligence, negotiate terms, and oversee closing for deals, including venture investments, and banking/financing arrangements.

Qualifications

7+ years of transactional legal experience at a leading law firm or in-house.
Experience with structuring, drafting, and negotiating complex agreements.
Familiarity with generative AI in legal workflows and safeguarding privileged information.
Experience with banking, deposits, custody, safeguarding, treasury or fintech agreements.

Responsibilities

Lead transactions from inception through negotiation, signing, and closing.
Coordinate with Legal, Regulatory, Risk, Compliance, Tax, and Product teams.
Draft definitive agreements and oversee due diligence and integration.
Advise on joint ventures, strategic partnerships, and non-ordinary-course transactions.
Design AI-enabled workflows and templates for the Transactions team.
