Qualifications

• JD with an active New York bar license and 10–15+ years of commercial contracting experience.
• Substantial in-house experience, ideally in technology services or professional services.
• Proven track record negotiating large, complex technology outsourcing agreements.
• Experience leading or mentoring attorneys.
• Healthcare industry exposure or familiarity with AI governance and technology licensing is a plus.

Responsibilities

• Negotiate the company's largest and most complex sell-side technology agreements, including MSAs, SOWs, and SaaS licensing.
• Structure and negotiate data rights and licensing provisions (derived data, model training data, analytics outputs).
• Serve as a key escalation point for high-stakes or stalled negotiations.
• Manage and mentor a team of commercial contracting attorneys.
• Develop and maintain contracting playbooks and standards across the legal function.
