Job summary

Sanford Rose Associates Network in New York City seeks a VP, Senior Technology Transactions Attorney (AGC) to lead negotiating complex sell-side technology agreements, MSAs, SOWs, and SaaS licensing.

The role requires deep in-house experience, strong leadership of a legal team, and the ability to develop playbooks for the contracting function, with focus on data rights, AI governance, and global licensing considerations.

Qualifications

• JD with an active New York bar license and 10–15+ years of commercial contracting experience.
• Substantial in-house experience, ideally in technology services or professional services.
• Proven track record negotiating large, complex technology outsourcing agreements.
• Experience leading or mentoring attorneys.
• Healthcare industry exposure or familiarity with AI governance and technology licensing is a plus.

• Negotiate the company's largest and most complex sell-side technology agreements, including MSAs, SOWs, and SaaS licensing arrangements
• Structure and negotiate sophisticated data rights and licensing provisions, including derived data, model training data, and analytics outputs
• Serve as a key escalation point for high-stakes or stalled negotiations
• Manage and mentor a team of commercial contracting attorneys
• Develop and maintain contracting playbooks and standards across the legal function

Ideal Background:

• JD with an active bar license (New York preferred), 10-15+ years of commercial contracting experience
• Substantial in-house experience, ideally within a technology services or professional services company
• Demonstrated experience negotiating large, complex technology outsourcing agreements
• Experience leading or mentoring attorneys
• Healthcare industry experience, exposure to global markets (U.S., Europe, India), or familiarity with AI governance and technology licensing is a plus
