Qualifications

• US JD and active bar admission (NY preferred).
• 10–15+ years of technology contracts experience, including in-house.
• Experience negotiating complex technology and outsourcing agreements.
• Escalation point in high-stakes negotiations; mentoring attorneys.

Responsibilities

• Negotiate complex technology and outsourcing agreements (MSAs, SOWs, SaaS/licensing) with data use, data licensing, and IP provisions.
• Advise on risk allocation, liability caps, indemnification, SLAs, and data privacy/security requirements.
• Serve as escalation point on stalled/high-stakes negotiations; set negotiation strategy for contracting function.
• Partner cross-functionally with Sales, Delivery, Finance, and Risk leadership.

Senior Technology Transactions Counsel (VP / Associate General Counsel) - New York, NY

We’re working with a global, publicly traded professional services organization that provides technology-enabled solutions to enterprise clients across a range of industries on a search for a Senior Technology Transactions Attorney to join as Associate General Counsel.

This is a senior in-house role combining hands-on negotiation of the company's most complex technology and outsourcing agreements with a leadership voice on commercial contracting strategy — a trusted advisor to senior business leaders and a key escalation point on high-stakes deals.

What you'll do:

• Negotiate complex technology and outsourcing agreements — MSAs, SOWs, professional services agreements, SaaS/licensing arrangements — including data use, data licensing, and IP ownership provisions
• Advise business units on risk allocation, liability caps, indemnification, service levels, and data privacy/security requirements
• Serve as a key escalation point on stalled or high-stakes negotiations
• Help set negotiation strategy and risk guidance for the broader contracting function
• Partner cross-functionally with Sales, Delivery, Finance, and Risk leadership

What you'll bring:

• Extensive experience negotiating complex technology and outsourcing agreements
