Job summary

The Tech Recruiters is seeking an experienced transfer-agent operator in the United States to oversee core transfer-agent operations, including issuances, transfers, and cap-table accuracy. You will help design a compliant, scalable onchain-native process and work closely with issuers, shareholders, and counsel.

The role emphasizes building playbooks, enforcing controls, and creating repeatable procedures without inheriting a large legacy team. Prior SEC-transfer agent experience is essential.

Qualifications

• Direct, hands-on experience in an SEC-registered transfer agent.
• Ability to independently interpret transfer-agent rules and apply them to operational situations.
• Experience with transfer processing and registered ownership records.
• Knowledge of restricted securities and legend administration.
• Experience with issuer instructions, legal opinions, and supporting documentation.
• Familiarity with corporate actions and reconciliations.
• Experience with regulatory filings and SEC examinations.
• Experience with operational controls, exception management, and audit trails.
• Direct issuer and shareholder servicing experience.
• Experience building or improving transfer-agent workflows, systems, or teams.

Responsibilities

• Process issuances, transfers, cancellations, and other securities transactions.
• Maintain accuracy of shareholder records and cap tables.
• Review restricted securities, legends, and transfer requirements.
• Manage corporate actions, reconciliations, and exceptions.
• Support issuers, shareholders, counsel, and market participants.
• Operate and improve onchain transaction workflows.
• Maintain transfer-agent policies, procedures, and internal controls.
• Prepare regulatory filings and support SEC examinations.
• Identify operational and regulatory risks before incidents.
• Translate complex transfer-agent requirements into product rules and repeatable processes.
• Build the operating foundation to serve growing issuers and shareholders.
