Job summary

Happen Bank is seeking a Senior Corporate Counsel to provide strategic legal guidance across consumer lending partnerships, investor marketplace activities, and securitizations. You will draft and negotiate complex agreements, advise on lending programs, and support loan sales to institutional investors.

You will collaborate with Legal, Compliance, Finance, and cross-functional teams to navigate risk and enable growth in a fast-paced, regulated environment. A J.D.

Qualifications

• 6+ years of experience in corporate transactions, commercial contracting, securities, or related legal practice.
• J.D. degree and active membership in good standing with a state bar.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Experience managing multiple transactions and competing priorities independently.
• Strong communication and relationship-building skills across functions.
• Ability to navigate fast-paced, regulated environments and provide practical advice.

Responsibilities

• Draft and negotiate complex commercial agreements with strategic partners across lending programs.
• Provide day-to-day legal guidance on lending program structures, launches, and disputes.
• Support investor onboarding, marketplace operations, and loan sale/servicing agreements.
• Collaborate with Capital Markets, Finance, Credit, and outside counsel on securitizations.
• Maintain understanding of consumer lending, regulatory requirements, and risk management.
