Job summary

Happen Bank is recruiting a Sr Corporate Counsel to provide strategic legal guidance and transactional support across consumer lending partnerships and investor marketplace businesses. You will draft and negotiate complex commercial agreements, advise on lending programs, and support loan sales and securitization transactions.

Qualifications

• 6+ years of corporate transactions, commercial contracting, securities or related legal practice.
• Strong drafting, negotiation, analytical and problem-solving skills.
• Ability to manage multiple transactions independently with strong organization.

Responsibilities

• Draft and negotiate complex commercial agreements with strategic partners.
• Provide day-to-day legal guidance on lending program structures and product changes.
• Support securitization transactions and loan sales to institutional investors.
• Serve as trusted legal advisor to investor marketplace business and related operations.
• Coordinate with Capital Markets, Finance, Credit and outside counsel through transaction lifecycles.
• Develop understanding of consumer lending, privacy, and banking regulations.
• Escalate regulatory concerns to Compliance as appropriate.
