Quantum Health, Inc. is seeking a Corporate Counsel – Benefits Administration & Service Contracts to advise on employer-sponsored group health plan administration, including ERISA, ACA, HIPAA compliance, and vendor contract negotiations.

The role supports operational compliance for utilization management, wellness programs, and claims/appeals, with cross-functional collaboration to negotiate complex client and vendor contracts. Remote or hybrid work options within the United States are available.

Qualifications

• Juris Doctor from an accredited law school.
• Active license to practice law in a U.S. state.
• 5–10 years of legal experience in health and welfare benefits, ERISA fiduciary matters, and vendor contract negotiations.
• In-house counsel experience focused on employee benefits and health plans preferred.
• Benefits litigation experience preferred.
• Deep knowledge of ERISA, HIPAA, ACA, COBRA, IRS regulations, and related laws.
• Strong fiduciary responsibilities under ERISA and ability to negotiate client/vendor contracts.
• Ability to analyze complex issues and communicate recommendations to business leaders.
• Exceptional drafting, communication, and negotiation skills.

Responsibilities

• Negotiate and draft client, vendor, and partner contracts with TPAs, PBMs, wellness vendors, and insurers.
• Provide legal counsel on design, implementation, and administration of health and welfare benefit plans.
• Ensure compliance with ERISA, HIPAA, ACA, COBRA, and state requirements.
• Draft, review, and maintain plan documents, SPDs, and participant communications.
• Respond to disputes, claims, and appeals; oversee outside counsel when needed.
• Monitor regulatory developments and update policies and procedures.
• Support audits and Department of Labor investigations related to benefits and vendor contracts.
• Educate internal stakeholders on fiduciary obligations and plan administration.
• Participate in special projects and other legal initiatives.
