Carta is seeking a Contract Solutions Counsel on the Contracts team to manage high‑volume pre‑M&A contracts for sophisticated investment funds and asset managers. You will liaise with counterparties, ensure timely turnarounds, and maintain client playbooks.

You’ll mentor junior team members, collaborate across the legal tech stack, and contribute to scalable, AI‑driven workflows while operating in a fast‑paced environment across North America.

Qualifications

• Commercially minded and client-focused with clear legal advice.
• 7–8+ years of post-law-school corporate or transactional experience.
• Experience with asset managers, investment banks, or financial services firms.
• Licensed to practice in the Americas (US/Canada).
• Comfortable with evolving legal tech platforms and AI.
• Self-starter who can own their work in a fast-paced environment.

Responsibilities

• Negotiate high volumes of pre‑M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Serve as primary day-to-day client contact for sophisticated funds and asset managers.
• Maintain and update client playbooks for consistent negotiations.
• Mentor junior lawyers and paralegals to uphold a high-performing culture.
• Contribute to improving Carta's legal technology stack with AI tools.
