Job summary

Carta is seeking a Senior Associate Contract Solutions Lawyer to join the Contracts - Americas team in Sandy, UT. You will negotiate and manage high volumes of pre-M&A contracts, acting as the primary contact for sophisticated investment funds and asset managers, and help shape client playbooks.

You will mentor junior lawyers and paralegals, contribute to a high-performing team culture, and help enhance Carta's AI-enabled legal technology stack to improve efficiency and outcomes.

Qualifications

• 4+ years of post-law-school corporate or transactional experience negotiating pre-M&A contracts.
• Licensed to practice law in the Americas (US/Canada).
• Experience with asset managers, investment banks, or financial services clients.
• Comfortable with legal tech and AI tools.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts with NDAs, NRLs, joinders, and engagement letters.
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations.
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
