Job summary

Carta is seeking a Solutions Counsel on the Contracts team (Americas) to manage the full lifecycle of commercial contracts for sophisticated investment funds and asset managers. You will negotiate NDAs, NRLs, joinders and engagement letters, liaise with counterparties, and ensure timely, high-quality results.

You will collaborate with prosecutors and paralegals, mentor junior staff, and help evolve Carta's AI-backed legal tools to improve efficiency and consistency across contracts.

Qualifications

• 6-8+ years of post-law school corporate or transactional experience.
• Licensed to practice law in the Americas (US/Canada).
• Experience negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Experience with asset managers, investment banks, or financial services firms.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts directly with counterparties.
• Serve as primary day-to-day contact for sophisticated clients.
• Maintain and update client playbooks for consistency across negotiations.
• Mentor junior lawyers and paralegals and contribute to a high-performing team culture.
• Support innovation of Carta's legal technology suite with AI tools.
