Carta is seeking a Solutions Counsel on the Contracts Team to manage high volumes of pre-M&A contracts and serve as the primary contact for sophisticated investment funds and asset managers. You will collaborate with lawyers and paralegals to ensure fast, accurate contract negotiations and maintain client playbooks.

You will contribute to Carta's evolving legal tech tools, leveraging AI-driven solutions to streamline workflows and improve outcomes for clients in a fast-paced environment.

Qualifikationen

• 6-8+ years of post law school corporate or transactional experience.
• Experience independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Licensed to practice law in the Americas (US/Canada).
• Experience with asset managers, investment banks, or other financial services firms.
• Comfortable with evolving a legal technology suite (AI tools, HighQ).

Aufgaben

• Negotiate and manage high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters directly liaising with counterparties and adhering to agreed turnaround times.
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations.
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
