Job summary

Carta is seeking a Senior Associate Contract Solutions Lawyer to manage high-volume pre-M&A contracts and act as the day-to-day liaison for sophisticated funds and asset managers. You’ll work with fellow lawyers and paralegals, ensuring high-quality, timely negotiations.

You are a self-starter with 4+ years in transactional law, comfortable with legal tech (AI tools, HighQ), and eager to mentor others while driving continuous improvement in the contracts function.

Qualifications

• 4+ years of post-law-school corporate or transactional experience in US/Canada.
• Independently negotiates pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Experience with asset managers, investment funds, or financial services is a plus.
• Licensed to practice law in the Americas (US/Canada).

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts with turnaround targets.
• Serve as the primary day-to-day contact for sophisticated funds and asset managers.
• Maintain client playbooks and ensure consistency across negotiations.
• Mentor junior lawyers and paralegals and review their work.
• Contribute to improving Carta's legal technology and AI-enabled tools.
