Job summary
Carta is seeking a Solutions Counsel to join the Contracts team - Americas, handling high volumes of pre-M&A contracts for sophisticated investment funds and asset managers. You will negotiate NDAs, NRLs, joinders, and engagement letters, liaise with counterparties, mentor junior lawyers and paralegals, and help improve Carta's AI-enabled legal tools.

Qualifications
- 6-8+ years of post-law-school corporate or transactional experience.
- Experience negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
- Experience with asset managers, investment banks, or financial services firms.
- Licensed to practice law in the Americas (US/Canada).
- Comfort with legal tech and AI tools.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts with turnaround times.
- Serve as primary day-to-day contact for sophisticated clients.
- Maintain and update client playbooks for consistency and quality.
- Mentor junior lawyers and paralegals.
- Contribute to improving Carta's legal technology suite.
