Job summary

Carta seeks a Senior Associate Contract Solutions Lawyer to lead pre‑M&A contract work and manage client relationships within the Contracts ‑ Americas function. You’ll collaborate with lawyers and paralegals to deliver efficient, accurate negotiations backed by Carta's Ava AI tools.

You’ll mentor junior colleagues, update client playbooks, and help advance Carta’s legal technology strategy while navigating a fast‑paced, growth‑oriented environment.

Qualifications

• 4+ years of post law school corporate or transactional experience negotiating pre‑M&A contracts.
• Licensed to practice law in the Americas (US/Canada).
• Experience with asset managers, investment banks, or financial services firms.

Responsibilities

• Negotiate and manage high volumes of pre‑M&A contracts, including NDAs and joinders.
• Serve as the primary day‑to‑day contact for clients, building trusted relationships.
• Maintain and update client playbooks to ensure consistency across negotiations.
• Mentor junior lawyers and paralegals to foster a high‑performing team.
• Contribute to AI‑backed legal tools and improve Carta's technology suite.
