Job summary

Carta Healthcare is seeking a Solutions Counsel to join the Contracts team in the Americas. You will manage high-volume pre-M&A contracts and serve as the primary contact for sophisticated funds and asset managers, liaising with lawyers and paralegals to maintain quality and pace.

You will mentor junior lawyers, collaborate on process improvements, and help advance Carta's AI-enabled legal tech stack (Ava) while ensuring client needs are met in a fast-paced environment.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
