Qualifications

• 6-8+ years of post-law-school corporate or transactional experience with independent pre-M&A contract negotiation.
• Experience with asset managers, investment banks, or financial services firms.
• Licensed to practice law in the Americas (US/Canada).
• Comfortable with AI-backed legal tech and platforms.
• Strong client-facing communication and relationship-building.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts with tight turnaround times.
• Serve as primary day-to-day contact for sophisticated investment funds and asset managers.
• Maintain and update client playbooks to ensure consistency across negotiations.
• Mentor junior lawyers and paralegals and contribute to a high-performing team.
• Help improve Carta's legal technology suite using AI tools.
