Carta is seeking a Senior Associate Contract Solutions Lawyer to join the Contracts - Americas team in Sandy, UT. You will manage high volumes of pre-M&A contracts and serve as the primary day-to-day contact for sophisticated investment fund clients, leveraging AI-backed tools.

Applicants should have 4+ years of post‑law school corporate or transactional experience, be licensed to practice in the Americas, and be comfortable working with a legal tech stack, including AI tools such as Ava.

Qualifications

• 4+ years of post-law-school corporate or transactional experience.
• Experience negotiating pre‑M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Experience with financial services clients like asset managers or investment banks.
• Licensed to practice law in the Americas (US/Canada).

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts with timely turnaround.
• Serve as primary day-to-day contact for clients.
• Maintain and update client playbooks on an ongoing basis.
• Mentor junior lawyers and paralegals.
• Contribute to the continuous improvement of Carta's legal technology suite.
