Larson Maddox, a premier boutique law firm in the EC/VC space, seeks a senior fund formation attorney for a fully remote role in the United States. The ideal candidate has 5+ years of experience in fund formation and investment management, and is comfortable operating autonomously with minimal supervision.

The position emphasizes ongoing fund structuring, drafting of core fund documents, and potential involvement in related M&A or corporate matters as needed.

Qualificações

• Admitted to the New York Bar.
• 5+ years' experience in fund formation/investment management from a reputable law firm.
• Demonstrated ability to run fund matters autonomously and advise clients directly.
• Strong technical drafting skills and commercial judgement.

Responsabilidades

• Advising sponsors and asset managers on the formation of private investment funds, including venture capital, growth, credit or other alternative strategies.
• Drafting, reviewing and negotiating core fund documentation (e.g., Limited partnership agreements, private placement memoranda, subscription agreements and side letters, management and advisory agreements).
• Advising on ongoing investment management and structural matters; assisting with fund-related SPVs and joint venture structures; acting as day-to-day client contact.
