Job summary

Mazoogi, a leading AmLaw 100 firm, is recruiting a senior associate to lead the investment management practice on a high-visibility team. This rare opportunity offers direct access to group leadership, a ground-floor role, and the resources of a global firm, all while working fully remotely in NY hours.

You will handle private fund formation end-to-end, structure joint ventures and co-investments, advise on the 40 Act and Advisers Act, and mentor junior associates as the primary client contact.

Qualifications

• 8+ years of direct investment management and private funds experience.
• Training at a top-tier AmLaw firm or nationally recognized funds practice.
• Deep, hands-on expertise in the 40 Act and Advisers Act.
• Proven track record drafting PPMs and structuring private funds and JVs.
• Active admission to the New York Bar.
• Ability to manage matters in a remote team.
• Top-of-market compensation expectations with bonus eligibility.

Responsibilities

• Lead private fund formation from start to finish, including PPMs, LPAs, subscriptions, and side letters.
• Structure and negotiate joint ventures, co-investment vehicles, and fund-level transactions.
• Advise registered investment advisers, fund sponsors, and broker-dealers on the 40 Act and Advisers Act.
• Guide clients through SEC and FINRA examinations, inquiries, and Form ADV filings.
• Serve as primary client contact and mentor junior associates.
