Allocator One is seeking a General Counsel to lead US fund law structuring and to draft and refine legal templates such as LPAs, PPMs, and Reg D filings. The role involves strategic advisory on market entry and regulatory positioning, managing GP relationships, and overseeing SEC compliance.

The position requires 10–18 years in investment fund, PE, or VC law with deep Delaware LPs/LLCs experience. A JD from a top school and NY/DE bar is preferred. Remote with US timezone overlap to SF HQ.

• Deep expertise in Delaware LPs/LLCs and US fund docs.
• JD from a top-20 law school and NY/DE bar is preferred.

Responsibilities

• Lead US fund law structuring and draft/refine templates (LPAs, PPMs, Reg D).
• Advise on market entry and regulatory positioning.
• Manage GP relationships and SEC regulatory compliance.
• Conduct legal due diligence on prospective fund managers.
