Beacon Hill Staffing Group, LLC represents a global publicly traded medical device company seeking a Senior Corporate Governance & Securities Counsel, Director for a remote, 8-month engagement. The role oversees complex SEC reporting, governance, Board matters, and subsidiary governance in a fast-paced, cross-functional environment.

The candidate will work independently with senior executives, partner with Finance, Investor Relations, Tax and HR, and support strategic governance initiatives

Qualifications

• JD from an accredited law school, active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in sophisticated settings (law firm or corporate).
• Extensive hands-on SEC reporting and disclosure experience (10-K/10-Q).
• Experience with corporate governance, Board matters, and disclosure controls.

Responsibilities

• Lead governance processes for the Board and committees; prepare agendas, materials, resolutions, and minutes.
• Oversee SEC reporting and disclosure work, including 10-K, 10-Q, 8-K, proxy statements; support 16b5-1 plans.
• Advise executives on governance trends, policies, and best practices; ensure governing documents and board policies are up to date.
• Collaborate with Finance, Investor Relations, Tax, HR, and Legal on complex governance and strategic initiatives.
