Qualifications

• Ability to manage complex governance matters independently with senior executives and cross-functional teams.

Responsibilities

• Lead governance processes for the Board of Directors and committees.
• Manage SEC reporting and disclosure, including Forms 10-K and 10-Q, proxy statements and related filings.
• Oversee subsidiary governance, corporate transactions, and financing activities as needed.
• Collaborate with Finance, Investor Relations, Tax, HR and Executive Compensation on disclosures and governance initiatives.
