Qualifications

• 12+ years of corporate legal experience in a sophisticated environment.
• JD from an accredited law school with active bar license.
• Significant hands-on SEC reporting and disclosure experience.
• Strong corporate governance and Board matters experience.
• Experience advising senior executives and cross-functional teams.

Responsibilities

• Lead SEC reporting and disclosure, including 10-K/10-Q/8-K and proxy statements.
• Manage governance processes for the Board and committees; prepare agendas and materials.
• Provide guidance on corporate governance issues, policies, and board communications.
• Support subsidiary governance and strategic corporate initiatives.
• Collaborate with Finance, Investor Relations, Treasury, Tax, HR, and Legal on governance matters.
