Job summary

Canto is seeking its first in-house Commercial Counsel to build a scalable, AI-enabled contract function. You will design processes for faster deal velocity, manage end-to-end contracting across Sales, Finance, and executives, and lead GDPR/CCPA compliance in a growing SaaS environment.

Reporting to the CFO, you will implement CLM systems, templates, and playbooks, while partnering with Security and Product on emerging legal and AI governance issues.

Qualifications

• JD and active bar membership in good standing.
• 5-8 years of legal experience in SaaS or technology, in-house or a mix of law firm and in-house.
• Strong experience negotiating commercial SaaS agreements, including MSAs, subscription agreements, DPAs, and NDAs.

Responsibilities

• Own negotiation and execution of commercial SaaS agreements — including MSAs, subscription agreements, DPAs, and NDAs — while enabling the business to move quickly within defined guardrails.
• Lead end-to-end contracting operations and implement an AI-enabled contracting function that accelerates deal velocity.
• Implement and manage a Contract Lifecycle Management (CLM) system with templates, playbooks, approvals, and delegation of authority controls.
• Leverage AI-driven tools for contract review, risk flagging, and workflow automation while reducing reliance on outside counsel over time.
• Partner with Sales, Security, Product, and Finance on privacy, governance, and AI-related regulatory requirements.
