Senior Commercial Counsel – SaaS, AI‑Driven Contracts

Job summary

Canto, a leader in digital asset management, is hiring its first in-house commercial counsel to scale a modern legal function. You’ll own end-to-end contracting for customers and vendors, design AI-enabled processes, and partner with Sales, Finance, and executives to accelerate deal velocity.

Reporting to the CFO, you’ll implement CLM templates, playbooks, and workflows, while navigating GDPR, CCPA, and global privacy requirements across US and EU operations.

Qualifications

• JD and active bar membership in good standing.
• 5–8 years of SaaS or technology legal experience.
• Strong experience negotiating MSAs, DPAs, and NDAs.
• Knowledge of GDPR/CCPA and related privacy rules.
• Proven ability to build processes in a scaling environment.
• Experience partnering with Sales in high-velocity deals.
• Interest in legal tech and AI-driven workflows.

Responsibilities

• Negotiate and close commercial SaaS agreements with guardrails.
• Enforce positions on non-standard terms and manage escalations.
• Train Sales to handle routine negotiations independently.
• Lead end-to-end contracting for customer and vendor deals.
• Implement a CLM system with templates and workflows.
• Use AI tools for contract review and risk flagging.
• Partner with Security and executives on privacy and AI governance.
