Job summary

Canto is seeking its first in-house Commercial Counsel to design and lead a modern, AI-enabled contracting function. You will own end-to-end contracting operations, negotiate strategic SaaS agreements, and partner with Sales, Finance, and executives to accelerate deal velocity while managing risk.

Reporting to the CFO, you will implement CLM systems, development playbooks, and governance across GDPR/CCPA, with a bias toward scalable processes and cost-efficient outside counsel usage.

Qualifications

• JD and active bar membership in good standing.
• 5–8 years of legal experience in SaaS or technology, in-house or mix.
• Strong experience negotiating commercial SaaS agreements (MSAs, subscriptions, DPAs, NDAs).
• Working knowledge of data privacy frameworks (GDPR, CCPA).
• Ability to build processes from scratch in a scaling environment.

Responsibilities

• Drive Commercial Contracting & Sales Enablement.
• Negotiate and execute SaaS agreements with guardrails.
• Scale contracting operations with AI-enabled workflows.
• Implement CLM templates, playbooks, and approval workflows.
• Lead privacy and data governance in vendor contracts.
• Partner with Sales, Security, Product and executives on regulatory needs.
