Job summary

Professional Recruiting Consultants, Inc. on behalf of a nationally recognized AmLaw 100 law firm in Atlanta seeks a highly motivated mid-level Associate Attorney for its Mergers & Acquisitions and Corporate Finance practice.

The role offers exposure to sophisticated domestic and cross-border transactions, with emphasis on private equity and private-target deals. Qualified candidates will have a JD from a top-tier law school, GA bar admission, and 4–6 years of substantive M&A experience.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive M&A and corporate transactions experience.
• Experience advising on complex M&A and corporate finance matters.
• Experience handling private equity transactions and private-target M&A.
• Ability to manage deal timelines and coordinate with junior team members.
• Experience drafting equity and asset purchase agreements.
• Strong written and oral communication skills; detail-oriented.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with a focus on private equity-sponsored deals.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, including supervising junior attorneys and synthesizing findings for clients.
• Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions.
