The role handles sophisticated domestic and cross-border transactions with private equity focus. Candidates should have a JD from a top-tier law school, Georgia bar admission, 4–6 years in M&A and corporate finance, and a track record advising on complex deals.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions.
• Sophisticated experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Demonstrated ability to manage multiple deal timelines and coordinate with junior team members.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, including supervising junior attorneys.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions.
