AmLaw 100 law firm in Atlanta seeks a mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice on a hybrid basis. The role emphasizes private equity transactions, complex M&A matters, and client-facing responsibilities in a fast-paced environment.

Qualified candidates hold a JD from a top-tier law school, Georgia bar admission, and 4–6 years of substantive experience in complex corporate transactions, including drafting and negotiating purchase agreements

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive M&A and corporate transactions experience.
• Experience handling complex M&A and corporate finance matters.
• Proven ability to manage private equity transactions and private-target deals.
• Strong drafting and negotiation skills for purchase agreements and related documents.
• Excellent communication, analytical abilities, and client service focus.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and strategic transactions.
• Manage all phases of M&A transactions from structuring to closing.
• Draft and negotiate purchase and ancillary agreements.
• Lead due diligence efforts and supervise junior attorneys.
• Serve as primary client contact and coordinate with external advisors.
• Collaborate across corporate, tax, finance, and regulatory teams.
