Qualifications

• J.D. from a top-tier law school with excellent academic record.
• Active Georgia bar admission in good standing.
• 4–6 years of substantive M&A and corporate transaction experience.
• Experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, focusing on private equity deals.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts and supervise junior attorneys.
• Serve as key contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with corporate, tax, finance, and regulatory teams to deliver integrated solutions.
