Qualifications

• JD from an accredited law school
• Active bar license in good standing in at least one US jurisdiction
• 12+ years of corporate legal experience in governance, SEC reporting, and securities law

Responsibilities

• Lead governance processes for the Board and committees
• Oversee SEC reporting and disclosure (Forms 10-K/10-Q/8-K)
• Support insider trading compliance and Section 16 reporting
• Advise senior leadership on governance matters and regulatory developments
• Partner with Finance, Investor Relations, and Tax on disclosures and financing activities
