Job description

Job Title: Head of Legal
Location: Singapore (HQ)
Reporting to: CEO

Role Overview

This is a strategic and hands-on role responsible for providing high-level legal counsel and end-to-end operational support across the Group’s business, finance, and project functions. The incumbent will be deeply involved in the direct negotiation, drafting, and vetting of complex legal documentation—specifically across Project Development, Project Financing, M&A, Corporate Restructuring, and Construction—while driving corporate compliance and dispute resolution across cross-border operations.

Responsibilities
  • Directly lead and execute the legal workstreams for corporate and project finance across the Group’s global investment and development portfolio. This includes hands‑on drafting, vetting, and negotiating complex project documentation such as EPCC, procurement, feedstock supply, and offtake agreements, ensuring all structures meet international bankability and commercial standards.
  • Deliver hands‑on legal support to management by identifying and resolving operational risks. Personally drive the legal review and assessment of business contracts, trade practices, tax structures, intellectual property, and licensing, as well as ensuring robust employment frameworks across regional offices.
  • Develop and implement strategic corporate policies and governance frameworks. Actively guide corporate actions and business practices to ensure they are not only compliant but also seamlessly integrated with the Group’s operational objectives.
  • Define and execute the strategy for litigation and dispute resolution; personally oversee and coordinate comprehensive company secretarial activities for all local and overseas group entities to ensure perfect corporate hygiene.
  • Lead the legal workstream for the Merger & Acquisition (M&A) and Corporate Restructuring processes. Conduct hands‑on assessments of legal risks, liabilities, and structural implications to protect the Group’s interests during complex transactions.
  • Provide direct, high-level support and undertake specialized strategic assignments as directed by the CEO and Chairman’s Office, acting as a versatile legal lead for the Group’s most critical initiatives.
Requirements
Experience & Education
  • Seniority: 10–15 years of PQE in a reputable law firm, commercial, or MNC environment.
  • Sector Expertise: Previous experience in Engineering, EPCC, Petrochemical, or Oil & Gas is highly advantageous.
  • Regional Knowledge: Strong understanding of corporate and commercial laws across the Southeast Asian region, including corporate governance and restructuring.
  • Education: Law degree from a reputable university; admitted to the Singapore Bar, UK Bar, or other Common Law jurisdictions.
Technical Skills
  • Deep knowledge of legal issues pertaining to project finance, banking and corporate governance.
  • Strong expertise in the Singapore Companies Act and relevant company laws and regulations across Southeast Asia, particularly in Singapore, Malaysia, Indonesia and Thailand.
  • Proficient in managing litigation and resolving complex commercial disputes.
Behavioral Skills
  • Proven ability to manage a team of lawyers and legal executives.
  • Able to influence business leaders, manage diverse management styles, and build strong partnerships with Senior Management.
  • A pro‑business, solution‑oriented approach to legal issues with strong negotiation skills.
