A corporate services firm based in Singapore is seeking a skilled professional to manage client portfolios, ensuring compliance with statutory regulations. Responsibilities include incorporating companies, preparing resolutions, and supporting listed firms with governance tasks. Qualifications

Responsibilities

  • Incorporate new companies, register foreign branches, and handle striking‑off procedures.
  • Prepare directors’ and shareholders’ resolutions, AGM/EGM documentation and maintain statutory registers.
  • Ensure timely filing of annual returns and other statutory documents with ACRA.
  • Draft and release announcements via SGXNET.
  • Prepare materials for AGM/EGM, Board and Board Committee meetings.
  • Meeting attendance and minute‑taking.

Job Description Summary

The successful candidate will work with the team in managing a portfolio of clients, including SGX-listed entities, ensuring compliance with statutory requirements under the Singapore Companies Act, SGX Listing Rules, and other regulatory frameworks. This role involves handling complex corporate secretarial tasks, advisory services, and supporting governance for listed companies.

Responsibilities

Corporate Compliance & Filings

  • Incorporate new companies, register foreign branches, and handle striking‑off procedures.
  • Prepare directors’ and shareholders’ resolutions, AGM/EGM documentation and maintain statutory registers.
  • Ensure timely filing of annual returns and other statutory documents with ACRA.

Listed Company Support

  • Draft and release announcements via SGXNET.
  • Prepare materials for AGM/EGM, Board and Board Committee meetings.
  • Meeting attendance and minute‑taking.
  • Other corporate or ad‑hoc duties as required.

Requirements

  • Minimum 3 - 4 years in corporate secretarial work
  • Experience with listed companies is preferred
  • Pursuing or holding ICSA/CSIS/CGI qualification preferred
  • Excellent written and verbal communication skills.
  • Positive working attitude, pro‑active, good team player and able to work independently with minimal supervision.
  • Able to work under pressure.
