Job summary

JS Talent Hub is seeking an experienced Associate – Corporate & M&A to join a leading organisation in Riyadh, Saudi Arabia. The successful candidate will handle corporate transactions, due diligence, and regulatory matters across Saudi frameworks.

Key responsibilities include drafting and negotiating SPAs, SHAs, JVAs, and related agreements, supporting IPOs and capital markets filings, and advising on Companies Law and governance. English communication and stakeholder management are essential.

Qualifications

• Qualified lawyer with 4–5 years of experience advising on corporate and commercial legal matters and transactions.
• Strong experience in M&A, corporate transactions, legal due diligence, and corporate structuring.
• Proven experience supporting IPO, capital markets, investment, and other corporate transactions.
• Strong knowledge of Saudi Companies Law, Investment Law, and relevant regulatory frameworks.
• Excellent drafting and negotiation skills across complex corporate and commercial agreements.
• Experience with company incorporation, foreign investment, corporate governance, and regulatory filings.
• Excellent English communication, legal research, analytical and stakeholder management skills.

Responsibilities

• Lead legal due diligence for M&A, IPOs, market transfers, corporate restructurings, and investment transactions.
• Draft, review, and negotiate SPAs, SHAs, JVAs, asset transfer agreements, and commercial agreements.
• Support IPO and capital markets transactions, including prospectuses and regulatory filings.
• Advise on Saudi Companies Law, Investment Law, corporate governance, and regulatory requirements.
• Manage company incorporations, restructurings, Foreign Investment Licences, Commercial Registrations, and regulatory filings.
• Prepare and review Articles of Association, shareholder resolutions, employment contracts, and corporate documentation.
• Provide legal research and strategic advice while managing multiple transactions and maintaining strong stakeholder relationships.
