Hire Feed is seeking a seasoned M&A Corporate Attorney to oversee securities filings, corporate governance, and transactional compliance in a fully remote role. The ideal candidate has at least 5 years of experience in M&A and corporate law, with strong drafting and negotiation skills, and a solid understanding of SEC regulations and governance practices.

Competenze

• Licensed attorney in good standing with experience in securities law.
• 5+ years in M&A and corporate law; SEC filing experience.
• Strong drafting and negotiation of transactional documents.
• Knowledge of corporate governance best practices and compliance.
• Ability to manage multiple deadlines in high-pressure environments.

Mansioni

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Ensure compliance with SEC regulations and filings (Forms S-1, S-3, 8-K, 10-K).
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as needed.
