Role Overview

We are hiring for one of our clients, seeking a full-time -based M&A Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance.

Key Responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8-K, and 10-K.
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as needed.

Required Skills & Qualifications
