Job summary

Placements24 seeks a Corporate Governance Specialist to lead governance, compliance, and ethics. Based in Rustenburg, the role offers a fully remote arrangement, with guidance to the board and management on best practices and regulatory alignment.

You will develop governance frameworks, oversee board meetings, and ensure regulatory filings while fostering transparency and accountability across the organization.

Qualifications

• A relevant degree in Law, Business Administration, Finance, or related field.
• ICSA qualification or equivalent is highly preferred.
• Minimum of 7 years of experience in corporate governance, company secretarial functions, or compliance roles.
• Strong understanding of South African corporate law and governance frameworks (Companies Act, King IV).
• Experience in advising boards and committees.
• Excellent minute-taking and document management skills.
• Exceptional communication, interpersonal, and stakeholder management skills.
• High degree of integrity, professionalism, and discretion; ability to work remotely.

Responsibilities

• Develop and maintain the company's corporate governance framework and policies.
• Advise the Board of Directors and senior management on governance best practices and compliance matters.
• Ensure compliance with the Companies Act, King IV and other relevant legislation and codes.
• Organize and manage Board and committee meetings, including agendas, minutes and supporting docs.
• Oversee statutory compliance and filings with regulatory bodies.
• Conduct governance audits and assessments to identify improvements.
• Manage stakeholder engagement related to governance issues.
• Provide training and guidance on governance principles and ethical conduct.
