Placements24 is representing a JSE-listed client in search of a Senior Corporate Governance Advisor based in Sandton, Gauteng. The role focuses on ensuring top-tier governance in line with King IV, advising the Board and management on governance, risk and ethical standards.

The ideal candidate has 7+ years in corporate governance or related roles, with strong knowledge of the Companies Act, King IV and JSE requirements, and excellent communication and analytical skills.

Qualificações

• Bachelor's degree in Law, Commerce or related field.
• Master's degree or Chartered Secretary qualification is advantageous.
• Minimum of 7 years' experience in corporate governance, company secretarial or corporate legal advisory roles.
• In-depth knowledge of the South African Companies Act, King IV and JSE listing requirements.
• Proven experience advising boards and senior management on governance matters.
• Excellent analytical, strategic thinking and problem-solving abilities.
• Exceptional written and verbal communication and interpersonal skills.
• High ethical standards and integrity.

Responsabilidades

• Develop, implement and monitor corporate governance policies and procedures.
• Advise the Board, committees and executive management on governance matters.
• Ensure compliance with Companies Act, King IV and other regulations.
• Oversee preparation of board and committee meeting materials and minutes.
• Manage shareholder relations and ensure listing requirements are met.
• Conduct governance risk assessments and develop mitigation plans.
• Facilitate board evaluations and training programs.
• Stay abreast of governance trends and best practices.
• Liaise with external auditors and regulators on governance issues.
