Job summary

Crusoe is seeking an experienced attorney to lead corporate governance and securities compliance as Director, Legal Counsel, Corporate & Securities. You will report to the VP, assisting governance, investor reporting, and regulatory matters, while collaborating with Capital Markets to cover cross-functional corporate needs.

The role requires a JD, active bar admission, and 4–7 years in corporate/securities work, ideally in a tech/high-growth environment.

Qualifications

• JD from an accredited law school and bar admission in at least one US state.
• 4–7 years of corporate and securities experience at a top-tier firm or in-house.
• Deep governance, disclosure obligations, and insider trading compliance knowledge.

Responsibilities

• Lead governance materials for the Board and committees, including agendas, minutes, and resolutions.
• Oversee securities disclosures, reporting, and information governance.
• Provide cross-coverage on capital markets transactions from diligence to closing.
• Partner with Finance, Accounting, Investor Relations, and HR to advise on corporate matters.
