Job summary

Crusoe is seeking a Legal Counsel – Finance and Corporate Development to join our team. Reporting to the Assistant General Counsel, this role handles high-impact corporate-finance work, including debt financings and strategic transactions.

The ideal candidate will have 7–10 years of transactional experience, JD from an accredited school, and bar admission. You will draft agreements, manage due diligence, and coordinate cross-functionally in a fast-paced environment.

Qualifications

• Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.

Responsibilities

• Execute corporate financing and capital markets transactions from term sheet through closing.
• Draft, review, structure, and negotiate term sheets and definitive agreements.
• Support due diligence and manage document flow and closing logistics across counsel and internal teams.
• Support ongoing covenant compliance post-closing and entity management functions.
• Coordinate with Finance, Cloud Sales, Digital Infrastructure, and Commercial teams to align on transactions.
