Job summary

Crusoe is seeking a Legal Counsel - Corporate to join our team. Reporting to the AGC – Finance and Corporate Development, this role leads major debt financings and strategic transactions for a high-growth AI infrastructure company.

The ideal candidate brings 7–10 years of transactional experience, JD from an accredited school, and strong drafting and governance knowledge to support fast-paced cross-functional teams.

Qualifications

• J.D. from an accredited law school and active bar admission.
• 7–10 years of transactional legal experience in corporate/finance.
• Strong drafting, structuring, and negotiation of loan/financing docs.
• Experience leading high-stakes corporate transactions under tight timelines.

Responsibilities

• Execute corporate financing, capital markets, and strategic transactions from term sheet to closing.
• Draft, review, and negotiate term sheets and definitive agreements with risk-aware judgment.
• Support due diligence and manage document flow across teams and outside counsel.
• Ensure ongoing covenant compliance and post-closing governance obligations.
• Support entity formations, intercompany transactions, and standardized deal templates.
• Communicate complex legal concepts clearly to non-legal stakeholders.
